Terms of service.

The short version

Use WalkUp responsibly, only add team and player information you are authorized to use, and follow the rules of Apple Music, Spotify, GameChanger, and other connected services. Paid features are billed by Apple and can be managed in your App Store account.

1. Agreement to these terms

These Terms of Service (“Terms”) are a legal agreement between you and xGluted Technologies LLC, doing business as WalkUp (“WalkUp,” “we,” “us,” or “our”). They govern your access to and use of the WalkUp mobile app, website, and related services (collectively, the “Service”). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

2. Eligibility and accounts

  • You must be at least 13 to create your own WalkUp account. If you are under the age of legal majority where you live, a parent or guardian must review and agree to these Terms.
  • Coaches, parents, guardians, and team managers may use the Service for youth teams only when authorized to provide and manage the applicable team and player information.
  • You must provide accurate information, protect your sign-in credentials and team codes, and promptly update information that changes.
  • You are responsible for activity under your account and for staff or co-managers you authorize. Notify us promptly if you believe an account or team code has been compromised.

3. The WalkUp service

WalkUp helps baseball and softball teams manage rosters, lineups, walk-up music, cue points, player profiles, team roles, social or discovery features, and AI-generated announcer audio. Available features may vary by device, region, subscription, music provider, account type, and app version.

We may improve, add, remove, suspend, or change features when reasonably necessary to operate, secure, or develop the Service. We do not guarantee that every feature or third-party integration will always be available.

4. Subscriptions and purchases

  • Some Team Manager and game-day features require a paid subscription. Current price, billing period, trial terms, and included features are shown before purchase.
  • Purchases are processed by Apple through your App Store account and are subject to Apple’s payment terms. WalkUp does not receive your full payment-card information.
  • Unless stated otherwise, subscriptions automatically renew until canceled at least 24 hours before the end of the current billing period. Manage or cancel them in your Apple account settings.
  • Refunds, billing disputes, and introductory offers are handled under Apple’s applicable policies and law. Deleting WalkUp does not automatically cancel a subscription.
  • We may change prices or subscription features prospectively with any notice required by Apple or applicable law.

5. Music and third-party integrations

WalkUp can connect with services such as Apple Music, Spotify, and GameChanger. You are responsible for maintaining any required account or paid music subscription and following each provider’s terms. Connecting a service authorizes WalkUp to make the requests needed to provide the feature you selected.

WalkUp does not sell or license music and does not grant public performance, synchronization, reproduction, or other music rights. You are responsible for determining whether your use of music at a game, event, stream, recording, or public venue requires permission or a separate license. Availability and playback depend on the provider, network, device, catalog, region, and content restrictions.

6. Team, player, and user content

You retain ownership of names, photos, team details, comments, feedback, pronunciation guidance, and other content you submit (“User Content”). You grant WalkUp a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, and transmit User Content only as reasonably necessary to operate, secure, improve, and provide the Service.

You represent that you have all permissions needed to submit User Content, including information or images relating to players and minors. Content shared to a team is visible to authorized team members; content posted to discovery or social features may be visible to other users. Do not post information that should remain private.

7. AI announcer

WalkUp may generate announcer audio from player names, pronunciation guidance, team phrases, and settings you provide. Generated audio can contain mistakes, including incorrect pronunciation or wording. Review it before game day and use the available feedback or regeneration controls when needed.

Do not use the AI announcer to impersonate a real person, deceive others, harass, discriminate, or create unlawful, harmful, or rights-infringing content. WalkUp may remove or restrict content or access that violates these Terms.

8. Acceptable use

You may not:

  • use the Service unlawfully or violate another person’s privacy, publicity, copyright, trademark, or other rights;
  • upload harmful, deceptive, abusive, discriminatory, sexually exploitative, or otherwise inappropriate content;
  • attempt to access another account, team, system, or data without authorization;
  • interfere with security, reverse engineer the Service except where law permits, introduce malware, scrape at scale, or overload our systems;
  • circumvent subscriptions, provider restrictions, explicit-content controls, or technical limits; or
  • use WalkUp or User Content to train or develop a competing product without written permission.

9. WalkUp ownership

The Service—including its software, branding, design, text, graphics, and features—is owned by WalkUp or its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted.

If you send suggestions or feedback, you allow us to use them without restriction or payment, but we will continue to handle personal information under our Privacy Policy.

10. Suspension and termination

You may stop using WalkUp or delete your account through Account Settings. Account deletion does not cancel an App Store subscription. We may suspend or terminate access if you violate these Terms, create risk or harm, fail to pay applicable fees, or if suspension is reasonably necessary to protect the Service or comply with law. Where appropriate, we will provide notice and an opportunity to address the issue.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” WalkUp disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee music availability, third-party services, network access, exact AI output, or uninterrupted playback.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

12. Limitation of liability

To the fullest extent permitted by law, WalkUp and its owners, employees, affiliates, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, profits, goodwill, or use, arising from the Service. Our total liability for claims relating to the Service will not exceed the greater of the amount you paid WalkUp for the Service during the 12 months before the claim or US $100. Some jurisdictions do not allow these limits, so they may not apply to you.

13. Apple App Store terms

If you downloaded WalkUp from Apple’s App Store, your use is also subject to Apple’s applicable App Store terms and Standard Licensed Application End User License Agreement. Apple is not responsible for providing maintenance or support for WalkUp except as required by law.

14. General terms

These Terms and documents they reference are the entire agreement between you and WalkUp regarding the Service. If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a reorganization, financing, merger, or sale.

We may update these Terms as the Service changes. We will post the new version, update the date above, and provide any additional notice required by law. Material changes apply prospectively.
